TERMS AND CONDITIONS OF SALE

1. General Provisions
This document constitutes an official offer (public offer) by PARAIBA S. L. U. (NRT: L-714623A), registered at Av. Sant Antoni 11, Casa Nova Hostalevell 3, La Massana, AD400, Andorra (hereinafter referred to as the "Seller"), addressed to any legally capable individual (hereinafter referred to as the "Buyer"), to enter into a contract for the sale of jewellery on the terms set out below.
This agreement constitutes a public offer in accordance with applicable law. By placing an order on the Website, the Buyer fully and unconditionally accepts all of the terms of this agreement.

2. Subject Matter of the Agreement
The Seller undertakes to deliver jewellery items (hereinafter referred to as the "Goods") to the Buyer in accordance with the terms of the placed order, and the Buyer undertakes to pay for and accept the Goods.
The range, specifications, descriptions and prices of the Goods are presented on the Website. Images of the Goods on the Website may differ slightly from the actual appearance of the item due to variations in screen colour reproduction, as well as the unique nature of each handcrafted jewellery piece.
3. Nature of the Products
All Valeoro products are exclusive jewellery pieces. Each item is individually crafted and produced in limited editions using precious metals and natural gemstones. Due to the unique nature of the products, minor variations in shade, texture and size of the stones may occur; this is a natural characteristic of natural materials and is not considered a defect.
4. Placing an Order
4.1. Order Procedure
The Buyer places an order on the Website by selecting the desired item and providing the required information: first and last name, email address, telephone number, delivery address (street, city, postal code, country). Upon placing the order, the Buyer receives a confirmation to the email address provided.
4.2. Order Confirmation
The agreement shall be deemed concluded upon the Buyer's receipt of an electronic order confirmation from the Seller. The Seller reserves the right to contact the Buyer to clarify order details.
4.3. Order Cancellation
The Buyer may cancel the order at any time prior to its dispatch to the delivery service by sending a notification to the Seller's email address. In the event of cancellation after payment has been made, the Seller shall refund the full amount within 14 business days using the same payment method through which the payment was originally made.
5. Price and Payment
5.1. Price
Prices of the Goods are displayed on the Website and may be shown in euros (€), US dollars ($) or Russian roubles (₽), depending on the currency selected by the Buyer. Prices include all applicable taxes. The base settlement currency is the euro; prices in other currencies are provided for informational purposes only and are recalculated at the current exchange rate. The final amount payable is fixed at the time the order is placed. The Seller reserves the right to change the prices of the Goods at any time without prior notice; the price in effect at the time the order is placed shall be final for that order.
5.2. Payment Method
Payment is made in euros (€) through the PayPal payment service. If the currency of the Buyer's account differs from the euro, currency conversion is performed by PayPal at its internal exchange rate at the time of payment. All payment data processing is carried out exclusively by PayPal. The Seller does not collect or store the Buyer's bank card details. The order is processed upon receipt of full payment.
6. Delivery
6.1. Delivery Terms
Delivery is provided free of charge for all orders. The Seller arranges delivery of the Goods to the address specified by the Buyer at the time of placing the order. Delivery is carried out by the international logistics company Ferrari Group, with shipment tracking and insurance covering the full value of the item.
6.2. Delivery Timeframes
Delivery timeframes depend on the destination region and are communicated to the Buyer individually upon order confirmation. Delivery is carried out by the international logistics company Ferrari Group. The Seller shall not be held liable for delays caused by customs clearance or other circumstances beyond the Seller's control.
6.3. Transfer of Risk
The risk of accidental loss or damage to the Goods passes to the Buyer upon handover of the Goods to the delivery service. However, as all shipments are insured by the Seller, in the event of damage to or loss of the Goods during delivery, the Buyer should contact the Seller immediately to resolve the matter.
6.4. Customs Duties
For international deliveries, the Goods may be subject to customs duties and import charges imposed by the country of destination. Such costs are borne by the Buyer and are not included in the price of the Goods or the delivery. The Seller shall not be held liable for delays caused by customs procedures.
7. Returns and Exchanges
7.1. General Terms
As all Valeoro products are exclusive items that are individually crafted and produced in limited editions, returns and exchanges of Goods of satisfactory quality are not accepted. By placing an order, the Buyer confirms that they have read and accepted this condition.
This restriction is in accordance with the provisions of EU Directive 2011/83/EU (Art. 16(c)), which permits an exception to the right of withdrawal for goods made to the consumer's specifications or clearly personalised.
7.2. Defective Goods
In the event that a manufacturing defect is discovered, the Buyer may contact the Seller within the warranty period (see Section 8) to request a replacement or repair of the item. To do so, the Buyer must send photographs of the defect and a description of the issue to the Seller's email address. The cost of returning defective Goods to the Seller shall be borne by the Seller.
7.3. Non-Conformity with the Order
If the delivered item does not conform to the order placed (different model, size or configuration), the Buyer must notify the Seller within 48 hours of receipt. The Seller shall arrange for the replacement of the Goods at its own expense.
8. Warranty
8.1. Warranty Period
The Seller provides a warranty on all products for a period of 2 (two) years from the date of receipt of the Goods by the Buyer. The warranty covers manufacturing defects in materials and workmanship.
8.2. The Warranty Does Not Cover
Mechanical damage occurring after the Goods have been delivered to the Buyer; damage caused by improper use, storage or care of the item; natural wear and tear of materials; damage caused by exposure to chemicals, moisture or extreme temperatures; consequences of repair or modification carried out by third parties without the Seller's prior approval.
8.3. Warranty Claim Procedure
To make a warranty claim, the Buyer must contact the Seller by email, providing the order number, photographs of the defect and a description thereof. The Seller shall review the claim within 5 business days and decide whether to repair or replace the item.
9. Liability
The Seller shall not be held liable for losses arising from the Buyer's provision of incorrect contact details or delivery address; the impossibility of delivery due to circumstances beyond the Seller's control (force majeure, import restrictions, actions of customs authorities); delivery delays caused by the logistics company Ferrari Group or customs authorities.
The Seller's aggregate liability under this agreement shall be limited to the value of the paid order.
10. Intellectual Property
All materials published on the Website, including photographs, texts, logos, designs and graphic elements, are the property of the Seller or are used with the permission of the respective rights holders. Copying, reproduction or distribution of such materials without the written consent of the Seller is prohibited.
11. Privacy
The processing of the Buyer's personal data is carried out in accordance with the Privacy Policy published on the Website. By placing an order, the Buyer confirms that they have read the Privacy Policy and agree to the terms of processing of their personal data.
12. Governing Law and Dispute Resolution
This agreement shall be governed by and construed in accordance with the laws of the Principality of Andorra. The parties undertake to make all reasonable efforts to resolve any disputes through negotiation. In the event that an agreement cannot be reached, the dispute shall be submitted to the competent court of the Principality of Andorra.

14. Final Provisions
The Seller reserves the right to amend this agreement. The updated version shall be published on the Website with an indication of the date of the last update. The terms in effect at the time of placing the order shall apply to that order in full.
If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall retain their full legal force and effect.
